Selling an Apartment in Israel

Selling an apartment or house in Israel is a significant legal and financial transaction. Proper preparation can help prevent unexpected taxes, registration problems, payment disputes and delays. A seller should identify legal, planning and financial issues before agreeing on price or signing any memorandum, reservation form or other document. The preliminary review may include:

Verification of ownership and the manner in which the rights are registered.
Examination of mortgages, liens, attachments, cautionary notes and third-party rights.
Review of permits, plans and possible building irregularities.
A preliminary assessment of capital gains tax and municipal betterment levy exposure.
Review of the balance and procedure for repaying or transferring an existing mortgage.
Examination of leases, inheritance documents or agreements affecting the property.

The seller’s lawyer prepares or reviews the agreement and negotiates its terms with the buyer’s lawyer. The agreement should coordinate the price, payment schedule, mortgage repayment, registration of the buyer’s cautionary note, taxes, delivery of possession and the documents required to complete the transfer.

The contract should also define the seller’s representations, the condition in which the property will be delivered, agreed compensation for breach, and a mechanism for cancelling the buyer’s cautionary note if the buyer commits a fundamental breach. Where tax or municipal certificates will not be available by the final payment date, an appropriate amount may be held in trust under the agreement.

The sale must be reported to the Israel Tax Authority within 30 days of the transaction. The seller may be liable for capital gains tax, while an exemption or another form of relief may be available in appropriate circumstances. A municipal betterment levy may also apply. These issues should be examined before signature because they can affect the seller’s net proceeds and the payment structure.

At completion, the parties coordinate payment of the balance, delivery of possession and keys, meter readings and the transfer documents. The seller’s lawyer also assists in obtaining the tax and municipal certificates needed for registration of the buyer’s rights.

Owners living outside Israel can often complete much of the process remotely. Depending on the country and the transaction, a power of attorney, notarisation, apostille or consular authentication may be required. Early coordination is also advisable if the sale proceeds are to be transferred abroad or if the seller must prove foreign tax residence or the absence of another home abroad.
